Welcome to EQS Technologies Pte Ltd (“EQS Technologies”). These Terms of Services (“Terms”) govern your access to and use of the EHS Legislation Updating Service and related online portal (collectively referred to as the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please refrain from using the Service.

1. Access to the Service:

• EQS Technologies grants you a non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms.
• Access to certain features of the Service may require registration and creation of a user account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify EQS Technologies immediately of any unauthorized use of your account or any other breach of security.

2. Use of the Service:

• You agree to use the Service only for lawful purposes and in accordance with these Terms.
• You may not use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party’s use of the Service.
• You may not attempt to gain unauthorized access to any portion or feature of the Service or any other systems or networks connected to the Service.
• You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission of EQS Technologies.

3. Intellectual Property:

• The Service and its original content, features, and functionality are owned by EQS Technologies and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
• You may not modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Service or any part thereof.

4. Subscription and Fees:

• Access to certain features of the Service may require payment of subscription fees. By subscribing to the Service, you agree to pay all applicable fees as set forth by EQS Technologies.
• Subscription fees are payable in advance and are non-refundable. EQS Technologies reserves the right to change subscription fees at any time upon reasonable notice.

5. Termination:

• EQS Technologies may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
• Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

6. Disclaimer of Warranties:

• The Service is provided on an “as is” and “as available” basis. EQS Technologies makes no representations or warranties of any kind, express or implied, regarding the Service or the accuracy, reliability, or completeness of any information provided through the Service.
• EQS Technologies disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability:

• In no event shall EQS Technologies, its officers, directors, employees, or agents, be liable to you or any third party for any indirect, consequential, incidental, special, or punitive damages, arising out of or in connection with your use of the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if EQS Technologies has been advised of the possibility of such damages.
• EQS Technologies’ total liability to you for all claims arising out of or in connection with the Service shall not exceed the amount paid by you, if any, for accessing the Service during the twelve (12) month period immediately preceding the event giving rise to such liability.

8. Governing Law:

• These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.
• Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

9. Changes to Terms:

• EQS Technologies reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
